Overview

These Terms of Use ("Terms") govern your access to and use of the E3Z Solutions ("E3Z") website and the engagement of E3Z's services by dating and matchmaking businesses ("Client," "you," or "your"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you don't agree, please don't use our website or services. These Terms are effective as of January 1, 2026.

Who These Terms Apply To

E3Z provides business-to-business AI strategy services to dating and matchmaking businesses. Our services are intended for companies, founders, and authorized representatives acting in a business capacity, not for individual consumers seeking dating advice or matchmaking services. If you are visiting our website as a prospective client, these Terms apply to that use. If you engage us for services, these Terms apply alongside any signed statement of work, proposal, or service agreement, which will govern in the event of a conflict.

Our Services

E3Z offers strategy and advisory services including Date Conversion Audits, AI Strategy Roadmaps, Business Model Redesign, Implementation & Vendor Strategy, and Ongoing AI Advisory. The specific scope, deliverables, timeline, and fees for any engagement are set out in a separate proposal or statement of work agreed with you in writing before work begins.

  • Advisory in nature. Our recommendations are based on the information, data, and access you provide, and represent our professional judgment rather than a guarantee of results.
  • Not a development shop. Where an engagement includes implementation support, we advise on and coordinate technical work; we do not warrant the performance of third-party vendors or software we recommend.
  • Dependent on your input. The quality of our recommendations depends on the accuracy and completeness of the information and data access you provide.

Client Responsibilities

To deliver our services effectively, we rely on your cooperation throughout an engagement.

  • Accurate information. You agree to provide accurate, complete, and timely information and data access reasonably needed to perform the engagement.
  • Authorization. You confirm that you have the authority to share any business, product, or member data you provide to us, and that doing so does not violate any law or third-party agreement.
  • Legal and regulatory compliance. You remain responsible for ensuring that your platform, product, and business practices comply with applicable law, including data privacy and consumer protection regulations relevant to dating and matchmaking businesses.
  • Timely engagement. Delays in providing access, feedback, or approvals may affect our ability to meet agreed timelines.

Fees & Payment

Fees for our services are set out in your proposal or statement of work and may be structured as a fixed fee, project-based fee, monthly retainer, or, for select engagements, an outcome-based fee tied to agreed performance metrics. Unless otherwise stated, invoices are due within fifteen (15) days of the invoice date. Late payments may result in a pause of services until the account is brought current. All fees are exclusive of applicable taxes unless stated otherwise.

Confidentiality

In the course of an engagement, both parties may share confidential business information, including product data, funnel metrics, aggregated member behavior data, and strategic plans. Each party agrees to keep the other's confidential information private, use it only for the purposes of the engagement, and protect it with the same degree of care it uses to protect its own confidential information. This obligation survives the termination of any engagement. Where appropriate, a separate mutual non-disclosure agreement may be executed to govern this further.

Intellectual Property

Ownership of intellectual property created during an engagement is allocated as follows, unless otherwise agreed in writing.

  • Deliverables. Upon full payment, you own the specific reports, roadmaps, and strategy documents prepared exclusively for you as part of your engagement.
  • Our methodology. E3Z retains ownership of its underlying frameworks, methodologies, diagnostic tools, and any general know-how developed before, during, or independent of your engagement, even where applied to your project.
  • Your data. You retain all rights to your own business, product, and member data. We do not claim ownership over any information you provide to us.
  • Website content. All content on our website, including text, graphics, and logos, is owned by E3Z or its licensors and may not be reproduced without permission.

No Guarantee of Results

While we bring deep expertise in AI strategy for dating and matchmaking businesses, we cannot guarantee specific outcomes such as a particular increase in date-conversion rate, revenue, or user growth. Business results depend on many factors outside our control, including market conditions, execution quality, and your platform's implementation of our recommendations. Any metrics, case studies, or examples referenced on our website or in proposals are illustrative and not a promise of similar results for your business.

Limitation of Liability

To the fullest extent permitted by law, E3Z will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or related to our services or your use of our website. Our total liability arising out of any engagement will not exceed the total fees paid by you to E3Z for the specific engagement giving rise to the claim in the twelve (12) months preceding the claim.

Termination

Either party may terminate an active engagement in accordance with the terms set out in the applicable proposal or statement of work, typically with written notice. Upon termination, you remain responsible for payment of fees for work performed up to the termination date, and each party's confidentiality obligations continue to apply. E3Z reserves the right to suspend or terminate access to our website for any user who violates these Terms.

Website Use

When using our website, you agree not to misuse it in ways that could harm E3Z or other users.

  • No unauthorized access. You may not attempt to gain unauthorized access to any part of our website, systems, or networks.
  • No harmful use. You may not use our website to transmit malware, spam, or content that is unlawful, misleading, or infringes on the rights of others.
  • No scraping. You may not use automated tools to scrape, copy, or extract content from our website without our prior written consent.

Third-Party Links & Vendors

Our website and our recommendations may reference or link to third-party websites, tools, or vendors, including AI providers and matching-engine technologies. We do not control and are not responsible for the content, practices, or performance of any third party. Your use of any third-party product or service is subject to that party's own terms and policies.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles, unless a separate signed agreement between you and E3Z specifies otherwise. Any disputes arising out of these Terms or our services will be subject to the exclusive jurisdiction of the courts located in San Francisco, California.

Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or for legal, operational, or regulatory reasons. If we make material changes, we'll update the effective date at the top of this page and, where appropriate, notify active clients directly. Continued use of our website or services after changes take effect constitutes acceptance of the updated Terms.
